· Rain Commodities has recently restructured its business by bringing in Cement and Calcined Petroleum Coke (CPC) business under its fold. The cement capacity of 1.50 Million TPA would rise to 3.16 million TPA by June 08 while CPC capacity is 2.44 Million TPA and is the world’s largest producer of CPC.

· The company acquired CII of USA on 19-07-07 manufacturing 1.84 Million TPA of CPC with manufacturing facilities in Illinois, Louisiana, Missisipi and West Virginia for a cash purchase price of US $ 595 Million.

· CPC is a raw-material used in the production of aluminium and titanium dioxide and its raw-material is Green Petroleum Coke.

· The merger of all the business took place from 1st April 07 and the company changed its accounting year to end on 31st December, every year. Hence, accounts for 9 months ended 31st December 07 were approved by the Board recently with business of CII, USA incorporated w.e.f. 19-07-07, from the date of its acquisition by the company.

· For 9 months ending 31-12-07 the total income of the company was at Rs.1,634 crores with PBT of Rs.85.57 crores and PAT of Rs.77.56 crores on equity of Rs.32.10 crores. Dividend of 28% was declared for the period ended 31-12-07. This amounts to annualized dividend of 37.33%.

· The results for 9 months above, includes gain of Rs.102.55 crores, being profit on sale of investment in GLC Carbon and financial and legal cost of Rs.134.18 crores for acquisition of Rain CII Carbon LLC. Hence, net extraordinary expenses of Rs.31.64 crores, brought down net profit to Rs.45.92 crores for the period.

· The present equity of the company is Rs.32.10 crores, of which, 40% is held by the promoters while 8% by Mutual Funds and FIIs and 52% by Public. Of this 52%, Citicorp is holding 14.95% stake.

· On 11-03-08, 35 lakh warrants were converted into 35 lakh shares at Rs.200 per share, issued to the promoters, due to which paid-up equity rose to Rs.35.60 crores.

· Due to restructuring and other one time costs and gain, the results of period ended 31-12-07 are not truly reflecting the working of the company. On an annualized basis, 2.4 million tonne CPC can give a topline of Rs.2,400 crores, while 3.14 million cement can give a topline in excess of Rs.1,000 crores. This could result into a PAT in excess of Rs.350 crores, thus resulting into an EPS of close to Rs.100 per share.

· Though new cement capacity of 1.50 million tonne would be operational from May 08, this would get reflected into the working for part of CY 08.

· For the year ended 31-12-08, the company is most likely to post an EPS of close to Rs.80 and dividend is likely to exceed 50% for the year.

· Share is presently ruling at Rs.155 which discounts its expected CY 08 earning by less than 2 times. CPC has huge demand by aluminium manufacturers in India and China, thus putting the company into an advantageous position.

· Share has potential to give a return of 100% in the next 18 – 21 months, with virtually no risk of fall from the present levels. A safe and excellent bet at Rs.155 in this market.

MARKETS SOAR – ITS ALL ABOUT SENTIMENTS!

The markets finally found the trigger that it was looking for and the positive news, that too about rate cut in USA helped the world markets bounce back. Sounds kind of weird, a rate cut in USA which does not affect the common man in Jhumritalayya or even on the non descript MG Road’s anywhere in India, has today become a reason to rejoice for! Now that’s globalization, it’s gone much beyond Pepsi and Ariel.

While most of us Indians slept off the night, dreaming of a bull market like the days in January, Bernanke announced a 0.75% rate cut in the US Federal Reserve rates. Though it was much below the one percentage point that the markets had expected, nevertheless, it was a welcome move. The Indian bourses were more than enthused by this news and the BSE opened the day for trading 500 points up, a complete reversal of trend from the 1000 points fall of Monday.

What this clearly indicates is that markets are purely driven by sentiments, the only thing that matters is the perception of the investors or the “moods”. All the fundamental signs are the same as that on Monday, the fall in industrial production remains and inflation soars. If these were the points of concern on Monday, they still continue to remain today. The only thing that has changed is the lifting of the moods, with the Fed rates cut, and the Lehman Brothers and Goldman Sachs group also posting better than expected earnings. Indian companies paying a good advance tax for Q4 also helped.

Yesterday's rate cut brought the benchmark overnight interbank lending rate in USA to 2.25%.Though this rate cut was lesser than the one percent rate cut expected, this coupled with the January 22nd rate cut of 0.75% are the largest reductions in the federal funds rate since it became the chief tool of monetary policy about two decades ago. These rate cuts along with the slew of measures announced last week are expected to ease the liquidity pressures, hopefully spur economic growth and reduce the risks of recession. Now that is what Bernanke hopes will happen and this is what rest of the world also hopes for. All want to ward off a serious recession in USA and the coming six months would be indicative of the efficiency of these measures announced.

The fed rate cut quickly triggered announcements from commercial banks that they were cutting their prime lending rate to 5.25% from 6%, where it was before the Fed meeting. This rate is the benchmark for millions of business and consumer loans.

For now, the moods have been set right, the economic factors and worries continue. For the Indian markets, the Q4 results will now indicate the way in which the markets will move. The economic industrial figures for the month of February will be announced in April and that could once again be a cause for concern as the slowdown is expected to continue. Inflation will continue to remain a sore point.

Right now, from the moods on Dalal Street, it is clear that the marketmen feel that the worst is over. From next week, the market will be sobered and surely, it will be quite a while before the Sensex once again scorches ahead to the 18k mark.

Today’s rise of the indices should certainly put the tap on the pessimists who have been predicting doomsday, saying that the Indian markets have entered into a prolonged bear phase. This rise reiterates the fact that the Indian markets do have the basic resilience and there are still buyers at ever fall, no one is selling and taking off. For now, Mr.Bernanke, take a bow!

The Borivli local arriving on time, absence of traffic jam near Centaur Hotel, T-20 victory, Anil Kumble’s 5-wicket haul at Sydney, Mukesh Ambani’s hair style, his wife’s wardrobe, Abhi-Aish wedding, the film premier of Om Shanti Om, Harry Potter’s new Novel, every thing was cited to justify the valuation of the stocks.

Now the reverse has become true. People are waiting for any excuse to dump stocks.

I realized this when I visited Nair at his posh Chembur residence. Nair was nervously watching the rates roll out in NDTV Profit Channel and gestured me to sit.

Suddenly we heard a loud sound and Nair jumped out of his seat “Did you hear the sound of a bomb blast. I’d would better sell off my entire HLL holding which my grand father bought in 1969.”

“Nair, it is only the sound of a tyre burst and there is no need to dump the stocks which you have been holding for four decades. It happens all the time.” I said.

“Tyre does not burst during the market hours. Some thing is definitely wrong with the auto industry. I better sell off my Tata Motors. Or do you think I should off load Apollo Tyres? You can’t make which industry is in trouble these days. The tyres these days simply conk off without giving any clue.”

“I think you are reading too much into the silly events. Try to relax. The prices of those two stocks are where they are and there is no need to panic.”

Nair was adamant “You don’t know how the market works these days. It may discount these events during the 45 minutes break for sun outage and the stocks may open gap down on resumption of trading and block the exit route. Any way I will send my servant down stairs to confirm that it was simply a tyre burst and nothing more.”

We sank into our seats.

Now the power went off briefly and returned.

Nair exclaimed “Gosh! I should have exited Reliance Energy long before. Now after this power tripping every one would want to exit REL and the stock may not sell.”

I gave him some water and consoled him.

The screen wobbled because of transmission problems and went blank and in another minute the ticker resumed its normal run.

Nair panicked “It looks like there is trouble brewing at NDTV and they are practising how to exit the television business. Let me call up my broker and tell him to clean up the stock from my portfolio.”

Nair rang up his broker and held the receiver for a long time and looked worried. “What happened?” I asked. Nair said “No body is picking up the call. I wonder whether my broker too has quit the business during the 45-minute break.”

Logics that drive Stock Price Patterns

Ask your kid to wake up in the morning or go to bed at night and you are likely to get a not so positive response. Ask an employee to perform certain difficult task and you need to ensure the employee is motivated. Incentives play a major role in motivating one to perform to achieve the desired goals. If the incentive is instant, the impact is likely to be better. That is human nature. Most organisations understand this well and devise reward programs for employees.

Often, in the world of investments, the results of the investments turn out to be very different from what logic can explain and there are situations when a wrong decision gets rewarded just because of the random nature of stock markets. Stock market is a very different place in that way. What we mean to say here is that even at times when one has invested for wrong reasons, or made wrong investment choices, the outcome turns out to be positive. Such an outcome leads one to believe that the decision and the logic behind the decision were right. On other occasions, when one has taken the right approach to assessing an investment, if the outcome is negative, one tends to question the investment process. In both the cases, the outcome may determine the future course of action. An investor making a mistake and getting the right outcome is likely to put more money using the same investment process. The moment the outcome changes, i.e., the negative outcome appears, the investor, in all likelihood loses more than he ever gained. On the other hand, if the outcome was negative in the first place, the correct methodology was either changed or the investor opts to stay away from stock markets.

This is no different from the famous experiment by the scientist Pavlov:

The original and most famous example of classical conditioning involved the salivary conditioning of Pavlov's dogs. During his research on the physiology of digestion in dogs, Pavlov noticed that, rather than simply salivating in the presence of meat powder (an innate response to food that he called the unconditioned response), the dogs began to salivate in the presence of the lab technician who normally fed them. Pavlov called these psychic secretions. From this observation he predicted that, if a particular stimulus in the dog’s surroundings were present when the dog was presented with meat powder, then this stimulus would become associated with food and cause salivation on its own. In his initial experiment, Pavlov used bells to call the dogs to their food and, after a few repetitions, the dogs started to salivate in response to the bell. (Source: www.wikipedia.org)

To put the above paragraph simply, while the dogs were expected to salivate on seeing meat, they started salivating even at the sight of the lab technician, who brought them meat. In the second experiment, when Pavlov started using bells to call dogs to their food, the dogs started to salivate at the sound of the bells even when there was no food. The brain learns and remembers using association. Sound of bells or sight of lab technician was followed by food – in the above discussion. This theory won the Nobel Prize for Ivan Pavlov and goes a long way in explaining how learning can take place.

I would narrate an incident that happened long back with a college student. This student happened to be one of the toppers in his class but was always very nervous during the examinations. In his final year, he had prepared well for the exams like he always did. On the day of the first exam, he was sitting on a tea stall having his morning cup of tea. Whether it was nervousness or something else, he dropped the cup and it broke. That day, he did fantastically well in the exam. It became a routine for him from the next day onwards. Every morning, he would go to the same tea stall, have tea, pay the tea stall owner Rs. 5 and break a cup. This was exhibition of the same behavior that William Bernstein mentioned above – “find patterns where there are none” just because one was unsure of the outcome of the exams. We can look around ourselves and find many such examples in real life as well.

It is no wonder then that around the budget time, we hear talks about pre-budget rallies / crashes or post-budget rallies / crashes. The announcements in the budget still can make some difference to certain businesses and the economy at large, but then there is also the December effect or the May-June crash phenomena – just because someone happened to register similar movements of stock prices during those periods.

However, there is a difference between the patterns that cause the prices to move and those that just randomly happen more often. The most important pattern and a proven one at that is the relationship between company profits and the stock price. The stock price moves in line with the growth in the profits of the company. As long as the company continues to grow profitability without diluting the equity base, the prices are likely to move up. However, this long-term up move is likely to be filled with many roller-coaster rides along the way.

It is important to learn about the factors causing long term and short term movements in the stock prices and use this knowledge to our advantage.

Most other relationships and associations are just coincidences. Such coincidences serve no other purpose than to distract an otherwise disciplined investor, leading to costly mistakes.

GMR – take a bow!

Now for some news from Bangalore or should we say, Bengaluru? Just when all expected to see two new airports taking off from this month, Hyderabad and Bangalore, news comes in that the airport at Bangalore has been delayed.

Originally scheduled to open on the 30th of March, the airport will now put off by almost a month due to safety concerns and poor road connectivity from the city to the airport. Airports Authority of India (AAI), which reviewed the preparedness of the new greenfield airport, is not satisfied with the works of the airport operator. Bengaluru International Airport (BIAL) was built in a consortium led by Siemens, Larsen & Toubro (L&T), Unique Zurich Airport, Karnataka government’s KSIIDC and AAI. Siemens holds 40% in BIAL, Unique Zurich and L&T hold 17% each in the company.

Another bone of contention is the levy of the user development fee (UDF). Though BIAL agreed to a reduced fee of Rs.240-plus taxes for domestic passengers and Rs.520-plus taxes for international passengers for the first two months, there is major grouse as the other new airport, opening on 16th March, led by the GMR Group, is not only meeting the opening deadline but has also decided to waive off the UDF for the initial two months. The swanky airport is scheduled to be inaugurated by UPA chairperson Sonia Gandhi on March 14.

This delay by BIAL raises some serious questions about the credibility of high caliber companies like L&T and Siemens. These companies have taken up much larger projects and have been in the industry for ages, so how come they could not do their job well. Compared to them GMR is a new kid on the block and yet it has successfully managed to wrap up its work within schedule. Clearly, Siemens and L&T need to relook at where things went wrong or else, others will have to relook at them, from an investment point of view and also from handing over mega projects to them.
